Agreement to Terms

These Terms and Conditions (“Terms,” “Terms of Service”) constitute a legally binding agreement between you (“Client,” “you,” “your”) and Specter Digital LLC (“Specter Digital,” “Company,” “we,” “our,” “us”) governing your use of our website specterdigital.net and services.

  • Strategic IT consulting
  • Digital transformation planning
  • Technology assessments
  • Workflow optimization
  • Custom solutions development

2.2 Service Delivery

  • All services are delivered remotely via digital channels
  • No physical goods are supplied
  • Services are provided on a project basis or monthly subscription
  • Specific deliverables are outlined in individual Service Agreements

Eligibility

3.1 Age Requirement

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you meet this requirement.

3.2 Business Capacity

If you are using our services on behalf of a business, organization, or other entity, you represent and warrant that:

  • You have the authority to bind that entity to these Terms
  • You accept these Terms on behalf of that entity

3.3 Geographic Restrictions

Our services are available worldwide. However, we reserve the right to refuse service to any geographic location at our sole discretion.

Service Agreements and Scope

4.1 Service Agreement

Upon accepting our services, you will receive a Service Agreement outlining:

  • Specific services to be provided
  • Deliverables and timelines
  • Pricing and payment terms
  • Project scope and limitations
  • Terms specific to that engagement

4.2 Scope Changes

Any changes to the agreed scope of work must be:

  • Requested in writing (email accepted)
  • Approved by both parties
  • Documented in a revised Service Agreement or Change Order
  • Subject to additional fees if applicable

4.3 Service Limitations

We reserve the right to:

  • Refuse service to anyone for any lawful reason
  • Modify or discontinue services with notice
  • Limit the scope of services based on feasibility
  • Decline projects outside our expertise

Pricing and Payment

5.1 Pricing

Service Packages:

  • Pricing is outlined on our website and in Service Agreements
  • Prices are subject to change with 30 days’ notice for existing clients
  • New pricing applies to renewals and new projects
  • Custom projects receive individualized quotes

Currency:

  • All prices are in US Dollars (USD) unless otherwise stated

5.2 Payment Terms

One-Time Projects:

  • 50% deposit required before work begins
  • 50% due upon completion and delivery
  • Payment due within 7 days of invoice date

Monthly Subscriptions:

  • Billed monthly in advance
  • Payment due on the 1st of each month
  • Automatic renewal unless cancelled with 30 days’ notice

Hourly Services:

  • Billed monthly in arrears
  • Detailed time tracking provided
  • Payment due within 7 days of invoice date

5.3 Payment Methods

We accept payment via:

  • Credit/Debit cards (via Stripe)
  • PayPal
  • Bank transfer (wire transfer)
  • Cryptocurrency (for international clients)

5.4 Late Payments

Late payments may result in:

  • Late fee of 1.5% per month (or maximum allowed by law)
  • Service suspension after 15 days
  • Account termination after 30 days
  • Collection agency referral
  • Legal action to recover amounts owed

5.5 Refunds

Our Refund Policy:

  • Deposits are non-refundable once work has commenced
  • Monthly subscriptions: Pro-rated refunds for unused services (at our discretion)
  • If you’re unsatisfied, contact us within 7 days for resolution
  • Refunds processed within 14 business days

5.6 Taxes

Prices do not include applicable taxes. You are responsible for:

  • Sales tax, VAT, or other applicable taxes
  • Providing valid tax exemption certificates if applicable

Client Responsibilities

6.1 Information and Access

You agree to:

  • Provide accurate and complete information
  • Grant necessary access to accounts, systems, and platforms
  • Respond to requests for information in a timely manner
  • Provide materials needed for project completion (logos, images, content)

6.2 Cooperation

You agree to:

  • Participate in scheduled calls and meetings
  • Review and approve deliverables within agreed timeframes
  • Communicate clearly about requirements and expectations
  • Provide constructive feedback

6.3 Third-Party Costs

You are responsible for:

  • Third-party service fees (domain registration, software licenses, hosting)
  • Advertising spend for social media campaigns
  • Premium tool subscriptions required for your project
  • Any costs incurred at your request

Our Responsibilities

7.1 Service Standards

We commit to:

  • Deliver services professionally and competently
  • Meet agreed deadlines (or communicate delays promptly)
  • Maintain confidentiality of your information
  • Provide regular updates on project progress
  • Respond to inquiries within 24 hours (business days)

7.2 Professional Standards

We will:

  • Use industry best practices
  • Maintain professional liability insurance
  • Comply with applicable laws and regulations
  • Provide quality work that meets agreed specifications

7.3 Limitations

We are not responsible for:

  • Results dependent on third-party platforms (e.g., social media algorithm changes)
  • Technical issues caused by third-party services
  • Delays caused by client non-responsiveness
  • Changes requested outside the original scope

Warranties and Disclaimers

8.1 Our Warranties

We warrant that:

  • Services will be performed professionally and competently
  • We have the right to provide the services
  • Deliverables will substantially conform to agreed specifications
  • We will comply with applicable laws

Warranty Period: 30 days from delivery for defects in workmanship

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • No guarantee of specific results (e.g., social media followers, sales increases)
  • No guarantee of uptime for third-party services
  • No warranty of merchantability or fitness for a particular purpose
  • No guarantee that services will be error-free or uninterrupted

8.3 Third-Party Services

We are not responsible for:

  • Performance or availability of third-party platforms (social media, Google, Microsoft, etc.)
  • Changes to third-party terms, policies, or algorithms
  • Third-party service outages or technical issues
  • Security breaches of third-party services
